| The Original Family Constitution of the Founding FORD-BRYSON Club . . . CONSTITUTION AND BY-LAWS ARTICLE I NAME: This Club shall be known as the FORD-BRYSON Club ARTICLE II PURPOSES: A. To promote by close contact an exchange of ideas and experiences, thereby endeavoring to solve the problems of our family, to the end that by greater efficiency we can better serve our immediate families and the interests of the public. B. To establish a better understanding and appreciation of the business and financial world as a whole. C. To study ways and means of having an annual family reunion and of putting into effect practical means of carrying out such. D. To elevate the status of our family and of the individual members of the Club. ARTICLE III MEMBERSHIP: A. Residential Members - Those individuals in the family having their place of residence in Greater Cleveland may hold office in the Club. B. Non-Residential Members - Those individuals whose place of residence is outside of Greater Cleveland. C. Honorary Members - Persons of such outstanding character that are deemed worthy of this honor. ARTICLE IV DUES: A. Membership dues for each member shall be ($120) one-hundred and twenty dollars annually, payable monthly ($10 a month) or annually or semi-annually in advance. B. There shall be no dues for honorary members. ARTICLE V OFFICERS AND DIRECTORS: A. The officers shall consist of: President, Secretary and Treasurer. B. The Board of Directors shall consist of the officers and the chairmen of the standing committees. COMMITTEES: A. Standing Committees shall be:
ARTICLE VII MEETINGS: A. Meetings shall be held at such time and at such places as the Board of Directors shall designate. B. The annual meeting for the election of officers shall be held at the monthly meeting in September of each year. C. Social meetings, or additional meetings may be held from time to time at the discretion of the Board of Directors. D. A quorum for the transaction of business shall consist of one-third of the active members present. E. Directors' meetings shall be called by the President at such times and places as he deems necessary, or upon request of two (2) directors. F. A quorum for the transaction of business at Directors' meetings shall consist of one- half of the Directors. G. The vote of the majority of the Directors present at any Directors' meeting shall be the vote of the Board, provided those present constitute a quorum. ARTICLE VIII AMENDMENTS: A. This Constitution may be amended by a two-thirds vote of the active members present. But no amendment shall be voted without two (2) weeks notice to the active members. BY-LAWS DUTIES OF OFFICERS: A. President - The President shall preside at all meetings of the Club; shall preside at all meetings of the Board of Directors, and have the title Chairman of the Board. The President shall perform such duties as are incidental to the office of President and are properly required of him. B. Secretary - The Secretary shall have charge of all papers, keep such records, make such reports and perform such duties as are incidental to that office, and properly required of him by the organization. C. Treasurer - The Treasurer shall have charge of the funds of the Club, shall conduct its banking business and audit all accounts. All checks and withdrawals shall be signed by either the President or the Treasurer and shall be countersigned by an additional officer or the Secretary. ARTICLE II COMMITTEES: A. Membership Committee shall direct the work of securing new members and shall submit their names to the Board of Directors for vote as to their admission. B. The Research Committee shall have charge of all research activities of the Club. C. The Public Relations Committee shall have charge of the advertising and publicity for the Club. |
